DAVID RAJ NIJHAWAN

PROFESSIONAL EXPERIENCE

Chief Legal Officer / Fintech/Blockchain 

My role included deal structuring, all forms of capitalization efforts, corporate governance, M&A efforts, litigation, compliance, assisting human resources and marketing with legal matters, and managing outside counsel and our in-house legal counsel. I also work closely with the finance department and assist in creating and executing the financial strategy for the company including capitalization efforts for the company.

  • Implemented Legal Project Management protocols for outside counsel, internal counsel, and compliance departments.
  • Responsible for all strategic transactions including acquisition and divestitures, managing capitalization relationships such as Venture Capital and Private Equity, and identifying strategic targets.
  • This included defining project parameters up front, planning expenses and critical paths for relevant legal matters, managing the various matters, and evaluating time and cost allocations after the fact for these departments.
  • Reduced outside counsel spending by 60% and built internal compliance, export, and privacy controls. CIPP certification pending. Handled Program Management for the Development Team’s efforts to properly decommission various SAAS and Blockchain Technology initiatives.
  • Handled project management duties for the Intellectual Property Portfolio and Litigation Matters.
  • Worked with outside counsel to create internal and external privacy policies and disclosures
  • Managed privacy reporting enterprise-wide and created appropriate playbooks for incident response and incident prevention.
  • Worked with Human Resources to implement company compliance and privacy training.
  • Worked with IT Department to address and create infosecurity protocols and data breach protection and response protocols
  • Provided cross-department support with marketing/sales to manage risk and managed licensing and vendor matters pertaining to data and privacy.
General Counsel and Director of Strategic Transactions / ICC /
I handled all legal matters for ICC. This included, but was not limited to: all M&A and joint venture opportunities, litigation, intellectual property, corporate governance, human resources, and managing outside counsel and our other in-house legal counsel. In addition, my responsibilities included cultivating and managing our relationships with financial partners and serving as a joint partner of the Finance Department. I assisted in creating and executing the financial strategy for the company including capitalization efforts for the company as well as select clients.
  • Negotiated and financed a $5MM acquisition of our manufacturing facility in Canby, Oregon.
  • Responsible for all strategic transactions including acquisition and divestitures, managing capitalization relationships such as Venture Capital and Private Equity, and identifying strategic targets.
  • Handled Program Management and execution for all joint ventures/acquisitions as well as complex manufacturing and engineering projects
  • Cultivated, negotiated, and completed a $1.5MM acquisition of a strategic partner which resulted in expansion into a new vertical for the group.
  • Handled Program management duties for any and all capitalization efforts that the legal and finance teams engaged in,
  • Recapitalized the company in 2020/2021 which involved private investors, traditional debt sources, and secondary debt sources. This included finding, procuring, and deploying over $10MM in capital
  • Regularly advised the board and other members of the C-Suite in governance matters, strategic decision-making, budgeting, and compliance/regulatory issues.
  • Worked directly with the CFO to ensure compliance with banking institutions and investors.
  • Reduced outside counsel spending by 40% year over year
  • Advised and negotiated several commercial real estate transactions for the company.
  • Advised and co-created various HR policies for the engineering company, the construction company, and the manufacturing company.
  • Identified and cultivated relationships with local government entities and state government entities to procure capital for the company in Oregon, Hawaii, and Missouri.
  • Overhauled and managed the process for overall contracting for all verticals of ICC.
  • Negotiated and completed the divestiture of a non-performing vertical.
  • Established financial metrics for the other members of the C suite to achieve the financial goals of the company.
